The Starbird Chicken name, logo, trademarks, service marks, trade dress, and all associated names, logos, product and service names, designs, and slogans are trademarks of Starbird Chicken or its affiliates or licensors. You must not use such marks without the prior written permission of Starbird Chicken. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content solely for personal, non-commercial purposes related to your use of our Services. This license does not include:

Due to the perishable nature of food products, all sales are generally final. • WARRANTIES THAT THE SITE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS.
• WARRANTIES REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION OR CONTENT AVAILABLE THROUGH THE SITE.

Starbird Chicken does not warrant that the Site is free of viruses or other harmful components. You assume full responsibility and risk for your use of the Site and the internet generally.

6.1 Food Allergy and Dietary Disclaimer

While we strive to provide accurate allergen and nutritional information, Starbird Chicken cannot guarantee that any menu item is completely free from allergens due to the possibility of cross-contamination during food preparation. 7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STARBIRD CHICKEN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUBCONTRACTORS, SUPPLIERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
• ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
• ANY DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR SERVICES.
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE.
• ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
• ANY FOOD QUALITY ISSUES, ALLERGIC REACTIONS, OR HEALTH-RELATED CLAIMS ARISING FROM CONSUMPTION OF OUR PRODUCTS, EXCEPT AS REQUIRED BY LAW.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO STARBIRD CHICKEN IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Starbird Chicken and its officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service.
• Your use of the Site or Services, including but not limited to any orders placed through the Site.
• Your violation of any third-party rights, including but not limited to intellectual property rights or privacy rights.
• Your violation of any applicable law, rule, or regulation.
• Any content or information you submit, post, or transmit through the Site.
• Any misrepresentation made by you.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with us in asserting any available defenses.

9. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the United States of America and the laws of the applicable state in which Starbird Chicken operates, without giving effect to any choice-of-law or conflict-of-law rules that would cause the application of the laws of any other jurisdiction.

These Terms are also subject to applicable federal laws, including the Federal Trade Commission Act (FTC Act), 15 U.S.C. § 41 et seq., which governs unfair or deceptive acts or practices in commerce, and other applicable federal consumer protection statutes.

For users located in California, additional rights may apply under the California Consumer Privacy Act (CCPA) / California Privacy Rights Act (CPRA), the California Consumer Legal Remedies Act (CLRA), and other California consumer protection statutes. Nothing in these Terms limits any rights you may have under applicable California law.

Subject to the dispute resolution provisions below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the federal or state courts of competent jurisdiction in the United States, and you hereby consent to the personal jurisdiction and venue of such courts.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services informally. You agree to provide Starbird Chicken written notice of any dispute by emailing [email protected], describing the nature of the dispute and the relief sought. Starbird Chicken will respond within thirty (30) days. If the dispute is not resolved within sixty (60) days of the initial notice, either party may proceed to formal dispute resolution.

10.2 Binding Arbitration

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR SERVICES THAT CANNOT BE RESOLVED INFORMALLY SHALL BE RESOLVED THROUGH FINAL, BINDING ARBITRATION UNDER THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA) THEN IN EFFECT, WHICH RULES ARE INCORPORATED INTO THESE TERMS BY REFERENCE.

The arbitration shall be conducted in the English language. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. The costs of arbitration, including the arbitrator's fees, shall be allocated according to the AAA rules, except that Starbird Chicken shall pay all arbitration fees for disputes involving claims of less than five thousand dollars ($5,000.00).

10.3 Class Action Waiver

YOU AND STARBIRD CHICKEN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. FURTHER, UNLESS BOTH YOU AND STARBIRD CHICKEN AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

10.4 Jury Trial Waiver

TO THE EXTENT PERMITTED BY LAW, BOTH PARTIES EXPRESSLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

10.5 Small Claims Court

Notwithstanding the above, either party may bring an individual action in a small claims court of competent jurisdiction for disputes or claims within the scope of that court's jurisdiction, provided that such action is brought and maintained as an individual action and not as part of a class or consolidated action.

11. Term and Termination

These Terms shall remain in full force and effect while you use the Site or Services. We reserve the right, in our sole discretion, to:

• Terminate or suspend your account and access to the Site or Services at any time, with or without cause and with or without prior notice.
• Refuse service to any person or entity for any reason not prohibited by law.
• Remove or disable access to any content or material posted on the Site at any time and for any reason.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party.

Upon termination, your right to use the Site and Services will immediately cease. All provisions of these Terms which, by their nature, should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

Starbird Chicken reserves the right, at its sole discretion, to revise, update, modify, or replace any part of these Terms of Service at any time. We will notify you of material changes by:

• Posting the updated Terms on this page with a revised "Last Updated" date.
• Sending an email notification to the address associated with your account (if applicable).
• Displaying a prominent notice on our Site.

13. Severability

If any provision of these Terms of Service is held by a court of competent jurisdiction or an arbitrator to be invalid, illegal, unenforceable, or in conflict with any applicable law, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, and these Terms shall be construed as if such invalid or unenforceable provision had never been part of these Terms.

No waiver by Starbird Chicken of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Starbird Chicken to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

14. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by us on the Site, constitute the entire agreement between you and Starbird Chicken concerning your use of the Site and Services, and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, between you and Starbird Chicken relating to such subject matter.

No oral or written information or advice given by Starbird Chicken or any authorized representative shall create a warranty or otherwise alter the scope of these Terms. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may freely assign these Terms without restriction.

15. Force Majeure

Starbird Chicken shall not be held liable for any delay or failure to perform any obligation under these Terms when such delay or failure arises from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, civil disturbances, war, terrorism, strikes or labor disputes, power outages, or failures of third-party service providers or infrastructure. In such events, our obligations shall be suspended for the duration of the force majeure event.

16. Electronic Communications

By using the Site or sending emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We may communicate with you by email or by posting notices on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
